SEACHAM Membership Terms & Conditions

South East Asia Chamber of Commerce (SEACHAM)

1. Introduction

These Membership Terms & Conditions (“Terms”) govern membership of the South East Asia Chamber of Commerce (SEACHAM), operated by South East Asia Consultancy Co., Ltd. (“SEAC”).

By applying for, renewing, or participating in SEACHAM membership, the applicant agrees to be bound by these Terms.

Membership of SEACHAM is a privilege granted at the sole discretion of SEAC and is not a right.

2. Membership Approval

Membership is not confirmed until:

  • the completed application has been received by SEACHAM;
  • any requested supporting information has been provided;
  • applicable membership fees (if any) have been paid; and
  • the application has been approved.

The South East Asia Consultancy Co., Ltd., as the owner and operator of SEACHAM, reserves the sole and absolute discretion to approve, decline, suspend, or terminate any membership application or membership at any time, subject to applicable law.

SEAC is under no obligation to accept any application for membership and may refuse membership to any company, organisation, or individual at its sole and absolute discretion.

SEAC shall not be required to provide any reason, explanation, or justification for refusing, suspending, or terminating membership, except where required by applicable law.

SEAC may refuse, suspend, or terminate membership where, in its reasonable opinion, the applicant or member:

  • may harm or has harmed the reputation, integrity, credibility, or interests of SEACHAM;
  • undermines SEACHAM’s objectives, mission, or values;
  • negatively impacts other members or SEACHAM operations.

Submission of an application does not create any rights or entitlement to membership until written approval is issued.

3. Membership Term and Fees

Membership commences upon approval and continues for the applicable membership period.

SEACHAM reserves the right to introduce, amend, or remove membership fees, categories, and benefits at any time.

Fees, where applicable, are non-refundable unless required by law.

4. Membership Benefits

Membership benefits may include networking events, publications, advocacy initiatives, member directories, and other services.

Benefits may be modified, added, or withdrawn at SEAC’s discretion without liability.

5. Member Responsibilities

Members agree to:

  • provide accurate and updated information;
  • comply with all applicable laws;
  • maintain professional conduct;
  • not bring SEACHAM into disrepute;
  • respect other members and SEACHAM staff;
  • use SEACHAM platforms appropriately.

6. Code of Conduct

Members must not:

  • engage in harassment, discrimination, or abusive behaviour;
  • misuse SEACHAM events or communications;
  • conduct spam or unsolicited mass marketing;
  • misrepresent SEACHAM affiliation or endorsement;
  • engage in unethical or illegal business practices.

SEACHAM may remove or restrict access to members violating this clause.

7. Anti-Bribery and Anti-Corruption Compliance

Members must comply with all applicable anti-bribery and anti-corruption laws, including Thai law and international standards where applicable.

Members must not use SEACHAM to facilitate improper advantages or inducements.

Breaches may result in immediate suspension or termination.

8. Conflict of Interest

Members must disclose any conflict of interest relevant to SEACHAM activities.

SEACHAM may restrict participation in committees or events where conflicts arise.

9. Member Directory and Data Sharing (PDPA Compliance)

SEACHAM operates in accordance with the Personal Data Protection Act B.E. 2562 (Thailand).

Member information may be collected, used, and shared for legitimate SEACHAM purposes including networking, administration, and member engagement.

Member business contact information may be included in:

  • Member Directory;
  • event attendee lists (before and after events);
  • networking introductions;
  • collaboration with partners, sponsors, and event co-hosts.

Members who do not wish to have their information shared may opt out in writing.

SEACHAM will not disclose personal data beyond legitimate purposes unless required by law or consented to.

10. Events and Attendance

SEACHAM may organise events, conferences, meetings, and webinars.

SEACHAM reserves the right to:

  • change event details;
  • cancel or postpone events;
  • move events online;
  • limit attendance.

Event participation is subject to separate event terms where applicable.

By attending SEACHAM events, members and attendees acknowledge and agree that photography, video, and audio recording may take place.

SEACHAM may use such materials for:

  • marketing and promotion;
  • websites and social media;
  • newsletters and reports;
  • publications and media releases.

Members who do not wish to appear should notify SEACHAM in advance. However, incidental appearance in public event settings cannot be fully guaranteed to be avoided.

12. Non-Solicitation at Events

Events are intended for professional networking.

Members must not engage in excessive, disruptive, or unsolicited sales activity.

SEACHAM reserves the right to remove individuals from events without refund.

13. Third-Party Services

SEACHAM may introduce members to third-party partners or service providers.

SEACHAM does not endorse, guarantee, or accept liability for third-party services or outcomes.

14. Member Disputes

SEACHAM is not responsible for disputes between members.

Members agree to resolve all disputes independently.

15. Force Majeure

SEACHAM shall not be liable for any failure or delay caused by events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • war or civil unrest;
  • government actions;
  • pandemics;
  • labour disputes;
  • infrastructure or technology failure.

SEACHAM may cancel, postpone, or modify services or events without liability.

16. No Guarantee of Outcomes

SEACHAM provides networking, informational, and advocacy services only.

SEACHAM does not guarantee:

  • business opportunities;
  • investments or financial returns;
  • partnerships or deals;
  • regulatory or policy outcomes;
  • commercial success.

17. Limitation of Liability

To the fullest extent permitted by Thai law:

SEACHAM and South East Asia Consultancy Co., Ltd. shall not be liable for any loss, damage, cost, or expense arising from:

  • membership or participation in SEACHAM;
  • reliance on SEACHAM information;
  • attendance at events;
  • introductions or networking outcomes;
  • third-party interactions;
  • business or commercial decisions.

This includes direct, indirect, incidental, consequential, special, punitive, or economic loss (including loss of profits, revenue, or opportunity), whether foreseeable or not.

Members acknowledge participation is at their own risk.

18. Indemnity

Members agree to indemnify and hold harmless SEACHAM and South East Asia Consultancy Co., Ltd. against any claims, liabilities, damages, losses, or expenses arising from:

  • breach of these Terms;
  • misuse of membership;
  • unlawful conduct;
  • disputes with other members;
  • violation of laws or regulations.

19. Suspension and Termination

SEACHAM may suspend or terminate membership immediately, with or without notice, where it reasonably believes a breach of these Terms has occurred or is under investigation.

No refund shall be provided upon termination unless required by law.

20. Data Security

SEACHAM will take reasonable steps to protect personal data from unauthorised access, misuse, or disclosure.

21. Intellectual Property

All SEACHAM branding, content, publications, and materials remain the property of South East Asia Consultancy Co., Ltd.

Use of SEACHAM branding requires prior written approval.

22. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.

Any disputes shall be subject to the exclusive jurisdiction of Thai courts.

23. Amendments

SEACHAM may amend these Terms at any time.

Continued membership constitutes acceptance of updated Terms.

24. Severability

If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
